These Plan-Specific Billing and Usage Policies are incorporated into BioRender's Enterprise Subscription Agreement and Individual Terms of Service.
Depending on the type of team account you choose, there may be additional requirements applicable to the Services. Defined terms used in this page have the meaning set forth in the Enterprise Subscription Agreement.
Adding Users to a Named User Plan.
For “Named User” plans, Customers may add Users during the Subscription Term. BioRender will invoice Customer on a pro-rated basis for the additional Users from the date of activation of such additional Users through the end of the current Subscription Term. Payment terms for such invoices are net 30 days from the invoice date. BioRender will send Customer an email notification and invoice detailing new Users and associated pro-rated fees.
Active-User Plans
If you sign up for an institution or enterprise paid BioRender plan with an “Active-User” plan option:
- The number of Users you are billed for is determined based on how many unique Users accessed your institution or enterprise paid BioRender plan during the preceding calendar quarter.
- This adjustment begins at the end of the next quarter of your Subscription Term and continues quarterly thereafter.
Defined Group and Sitewide Plans.
Under a “Defined Group” or “Sitewide” plan:
- You will be billed initially for your documented estimate of the number of Users that will access the Services.
- BioRender may adjust billing if it reasonably determines your initial estimate was not made in good faith.
- For each renewal, the billed Users will be based on the actual number of unique Users accessing the Services in the prior term, plus additional users to account for User growth as reasonably determined by BioRender.
Additional Rules Regarding Academic Defined Group and Sitewide Plans.
- Users you purchase (up to the maximum number on your quote or Order Form) must be made available to all members of your department(s) or organization, rather than only a subset of potential users (e.g., principal investigators or faculty only).
- If you limit Users availability to select people, your plan will be changed to a Named User plan (where you pay per individual User).
Team and Lab Account Usage Restrictions
If you administer a Team or Lab account, you may not attempt to circumvent the BioRender license restrictions. Specifically:
- Prohibition on Multiple Assignments. You may not assign a single user license to more than one User at the same time.
- Minimum User License Requirements for Principal Investigators. If you are assigning a Lab Plan user license to a principal investigator, you must acquire at least five (5) user licenses for each principal investigator you assign.
- No Cycling or Rotating to Evade Limits. You may not cycle or rotate different Permitted Users through a single Seat in order to circumvent any active usage limits set by your BioRender Plan subscription.
- No Re-Assigning a Seat from a User-Account. Once removed, that same Seat cannot be reassigned to the same User until the following renewal term. If a User wishes to continue using the BioRender Services, they must either agree to the terms of a Free BioRender plan or be assigned a different paid BioRender plan.
Internal Billing and Cost Allocation for Academic Customers
- Internal Cost Allocation. Academic Customers may, subject to this Section 2, implement internal billing or cost allocation (“Internal Billing”) where individual departments, labs, or users within Customer’s organization pay Customer’s central administrator for access to the Services.
- Internal Billing for Named User Plans. For Academic Named User plans, Customer may implement Internal Billing provided that: (a) internal charges are pro-rated based on the actual usage period within the Subscription Term; (b) pro-ration calculations occur at least twice per Subscription Term; and (c) the per-user Internal Billing amount does not exceed BioRender’s per-User charge to Customer. BioRender reserves the right to suspend or terminate Customer’s access to the Services if Customer fails to comply with these Internal Billing requirements.
- No Internal Billing for Group and Sitewide Plans. Due to the discounted pricing structure provided specifically for Academic Defined Group or Sitewide plans, Internal Billing is restricted to ensure fair and immediate access across the organization. Specifically, for Academic Defined Group or Sitewide plans: (a) Internal Billing is not permitted without BioRender’s prior written approval; and (b) all Users must be available for use immediately upon the Effective Date. If Customer implements Internal Billing without BioRender’s approval, BioRender may convert Customer’s plan to a Named User plan at standard rates (with credit for amounts already paid).
- Student Pricing Eligibility for Students Paying Out-of-Pocket. To make BioRender affordable for students, BioRender offers discounted student subscriptions for students paying individually and directly (out-of-pocket). Students who will be reimbursed by a PI, lab, or institution must instead select an individual or lab plan or join an institutional license.
